1. Acceptance of Terms

By accessing or using Digitoly, you confirm that you are at least 18 years old, have the legal capacity to enter into these Terms, and agree to comply with all applicable laws and regulations. If you are using Digitoly on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Description of Service

Digitoly provides a social media management platform that allows users to:

• Schedule and publish content to connected social media accounts
• Manage multiple social media accounts and brands from one dashboard
• View analytics and performance metrics
• Manage comments and messages via a unified inbox
• Generate AI-powered captions (on eligible plans)
• Collaborate with team members (on eligible plans)

We reserve the right to modify, suspend, or discontinue any part of our service at any time with reasonable notice.

3. Account Registration

• You must provide accurate, complete, and current information when creating your account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately at support@digitoly.com if you suspect unauthorized access to your account.
• One person or legal entity may not maintain more than one free account.

5. Acceptable Use

You agree not to use Digitoly to:

• Violate any applicable laws, regulations, or third-party rights
• Post spam, unsolicited messages, or engage in any form of automated abuse
• Publish content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable
• Infringe intellectual property rights of any party
• Spread misinformation, hate speech, or incite violence
• Violate the Terms of Service of any connected social media platform
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or disassemble any part of the platform
• Use the service to compete with Digitoly or build a substantially similar product
• Resell or sublicense access to the platform without written permission

Violation of these terms may result in immediate suspension or termination of your account without refund.

6. Connected Social Media Accounts

• By connecting social media accounts, you authorize Digitoly to access and act on those accounts as described in our Privacy Policy.
• You are solely responsible for ensuring your use of connected accounts complies with each platform's Terms of Service.
• Digitoly is not responsible for any suspension, ban, or action taken by social media platforms against your accounts.
• You can disconnect accounts at any time. Scheduled posts for disconnected accounts will fail.
• We are not responsible for failed posts due to expired tokens, API outages, or platform restrictions.

8. Team Members and Multi-Brand Access

• Team invite features are available on Growth, Agency, and Trial plans only.
• The account owner is responsible for all actions taken by invited team members.
• You can remove team members at any time from your brand settings.
• Each brand has its own set of connected accounts and team members.
• Transferring brand ownership is subject to verification and may require contacting support.

9. Disclaimers and Limitation of Liability

10. Indemnification

You agree to indemnify and hold harmless Digitoly, its directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the service, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may suspend or terminate your account if you:

• Violate these Terms or our Acceptable Use Policy
• Fail to pay subscription fees
• Use the service in a way that creates legal liability for us
• Are required to do so by law

Upon termination, your right to use the service ceases immediately. We will retain your data for 30 days post-termination after which it will be permanently deleted, except where retention is required by law.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of India. Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for at least 30 days.

13. Changes to Terms

We may update these Terms at any time. We will provide at least 30 days notice for material changes via email. Your continued use after the effective date constitutes acceptance of the new Terms.
